Use of our service is subject to the terms and conditions described below. Your use of this service implies acceptance of these terms and conditions. Please read them carefully. RipX, LLC ("RipX") reserves the right to make changes to these terms and conditions at any time without notice to the users of this service. By accepting the terms and conditions you are obligated to have reviewed them, and your use of the service also binds you to an acceptance of any modifications of the terms and conditions.

RipX is committed to intellectual property and the rights of recording artists and recording companies. RipX opposes the illegal sharing and illegal distribution of music. RipX supports your privledge as a music consumer to enjoy your music and other audio content in all formats across all of your music playing equipment.

Use of our service is at your own risk. Use of the RipX service does not imply any acceptance of liability. Use of our service requires you to provide accurate information about yourself, your computer equipment, your CD collection and your conversion choices during placement of your order.

Use of our service is subject to all applicable U.S. and International copyright laws. You may only use this service to process CDs for which you have copyrights or legal permission to convert to a compressed format. It is your responsibility to assure that you have submitted CDs to RipX that do not violate any copyrights or otherwise make unlawful use of the resulting processed and converted files. You also agree to indemnify and defend RipX from any violation of copyright laws that may occur as a result of your use of this service.

RipX will not be liable for any loss or amount paid as a result of a termination of your order. Your order may be terminated if RipX is notified of either illegal use of copyrighted materials and/ or illegal use of a submitted personal or credit card information. If your account is terminated due to either RipX or a legal authority's determination of any illegal activity, RipX shall have no further responsibility or liability to you, including any amounts you have paid.

Your order and contract with RipX will not begin until RipX has processed your credit card and received a valid authorization code from your credit card company.

RipX or its service providers, suppliers or affiliates, will not be liable for, or refund, credit or make adjustment of any kind for any non delivery, misdelivery, corruption, shipment, direct damages, indirect damages, loss, failure to complete conversion, failure to provide converted data or products, misinformation, delay, inclusion or omission resulting from:

1) Your actions or inactions;
2) Your violation of these terms and conditions or these amended terms and conditions;
3) Your failure to provide accurate information about yourself, your shipping address, or your order;
4) Actions, inactions or complacence on behalf of or by any third party entity or person other than RipX;
5) Actions , inactions or complacence on behalf of or by any third party entity or person claiming to represent shipper or recipient;
6) Actions, inactions or complacence on behalf of or by any third party entity or person which results in our inability to provide a copy of signature obtained at delivery;
7) Our release of shipments without obtaining signature if a signature is on file;
8) Our failure to notify you of loss, damage or delay of any shipment;
9) Our inaccuracy of any shipment notice;
10) Our advice, FAQs, assistance, tech support, or other information does not imply acceptance of any liability whatsoever;

Subject to the above limitations, RipX will credit the charges (and applicable shipment charges) paid for our conversion service upon your request if we fail to provide service or shipment of products to you. To qualify for this refund, you must notify RipX of failure to obtain products or services within (15) days of shipment or invoice date.

RipX, or any of its service providers, suppliers, affiliates, will not be liable for any claim, refund, credit or adjustment in excess of the amount originally paid to RipX for CD ripping and conversion services.

If you have not received your order for any non-delivery, mis-delivery, late delivery, damaged shipment or any other shipping related claim, you must retain all shipping materials, containers and contents pursuant to RipX inspection and Shipper inspection of your claim. All claim procedures applicable to the shipper or carrier apply to your claim with RipX.

RipX is committed to your privacy. We will not sell, trade, distribute or otherwise use your information without your consent. All of your information is kept securely.

Any breach of this agreement, allegation of illegal activity, or copyright infringement with respect to your order constitutes an obligation on your part to defend and indemnify RipX, and hold harmless it's officers, managers, employees, suppliers, affiliates, agents, subsidiaries, representatives against any and all damages, claims, losses, and expenses, including attorney's fees and not limited to any other associated costs.
